Commercial Contracts and Agreements 

The firm’s lawyers offer extensive experience in drafting agreements and negotiating a variety of sophisticated transactions, combined with an in-depth knowledge of local markets. We can prepare lease, business conveyancing, franchise agreements, loan, shareholders and distribution agreements. 

Business Succession Planning 

At Ferguson Cannon we have gained extensive experience assisting enterprises of all sizes in establishing a business succession plan to ensure the continuity of their business and the maximum returns to its founders. Succession Planning is an essential issue for all businesses to consider in their strategic planning. We prepare for a number of clients Business Succession Deeds which details the who, what, when, why, and how changes in ownership and management are to be executed. We also review and prepare key documents such as partnership agreements, shareholder agreements, unit holder agreements and company constitutions. 

Government & Licensing Regulations 

Most businesses require one or more government regulated licences to operate. If your business requires advice on any type of licence, whether industry based, local, state or federal government, we provide practical, comprehensive advice. Ferguson Cannon have many years experience in advising clients on all aspects of government and licensing regulations. We advise our clients and assist them in obtaining licenses relevant to their business. We also provide assistance to ensure our clients comply with the various requirements of the relevant licensing authority.  

Intellectual Property 

Our Lawyers are experienced in providing advice to clients on all aspects of intellectual property law. We regularly act on clients behalf to register and protect their intellectual property. We can work with you to facilitate the establishment of Copyright, Licences, Confidentiality and Non Disclosure Agreements, Manufacturing Agreements, Trademark Protection, Patent Applications and IP Secure employment contracts. We also act on client’s behalf to enforce their intellectual property rights should any person attempt to infringe on their rights. This includes instituting proceedings for breach of copyright, breach of trademarks and passing off. Intellectual property is often an underrated asset. All businesses should ensure that their intellectual property is adequately protected.  

Business Structuring: companies, joint-ventures and partnerships 

We have a long history of working with business owners, individuals and family groups to establish business structures, joint-ventures and partnerships. Our advice includes structuring equity participation, shareholder and subscription agreements and related project documentation. When commencing or buying a business it is important that the ownership is structured to meet both asset protection and taxation objectives. It is also important to ensure that no unnecessary stamp duty is incurred if the ownership structure of the business is transferred at a later stage to achieve asset protection or tax objectives. Franchising 

Our franchising team is comprised of dedicated experts who work with our clients to provide the right advice based on their needs. We have over 15 years experience in acting for franchisors, franchisees, master franchisors and international franchisors. 

We regularly provide advice and prepare Disclosure Documents, Franchise Agreements and other documents regularly associated with franchising such as Premise License Agreements, Intellectual Property Licensing Agreements, Employment Contracts and Supply Contracts. We also act and advise on dispute resolution procedures under the Franchising Code of Conduct such as mediation, conciliation and litigation. 

Whilst the Australian franchising sector presents exiting and potentially profitable opportunities, the legal framework within which franchisees and franchisors operate is complex.

Leasing 

Leasing commercial or retail property in Queensland and Australia can be a complex legal maze. It can also be the largest expense of any business each year.  As such, it is vital that you obtain expert legal advice about a lease prior to signing.
